PREFACE

In Ricela Group of Industries, people are fortunate to have distinguished, capable and diverse men serving on its Board of Directors, working hard with utmost sincerity, honesty and fairness.Under the able leadership of it's directors, what started as a small private limited company in 1992, has today emerged as Ricela Group of Industries; with a number of companies in it's fold at multiple locations; having a big team of directors, senior managers and employees.

Hence there is a need to have a uniform code of conduct which sets forth our principles for working with each other, outside businesses, consumers, governments and local communities. The Code serves as an ever-present reminder of our responsibility to build these relationships on integrity, fairness and humanity.

Ricela Group's reputation is entrusted to each of us. With the Code of Conduct as our guide, together we can ensure our continued pride in our people, our products, our innovation and our communities. So I ask that you please read this document carefully and that you make a commitment to live by it - every day.

Respect for our people

We firmly believe that our most important strength is our people. We seek to provide a work environment where all employees have full job satisfaction so that they willingly work to the best of their capabilities with utmost sincerity & devotion and contribute to the company's success. We are, in particular, committed to fostering a work environment where people at all levels feel comfortable and respected, regardless of individual differences, talents or personal characteristics and treat each other with respect and dignity. We owe our phenomenal success in short span to the faith reposed in us by all our suppliers, customers, and service providers such as bankers, brokers etc. We value the contribution made by each one of them in making us the leaders in our line of business.

We are committed to keep all of them in high regards and ensure best possible services at all times.

We are, in particular, committed to treat all our customers and suppliers honestly, fairly and objectively.

We are committed to avoid any unfair or deceptive practice and always present our products in an honest and forthright manner.

We believe in healthy & friendly business competition. We shall market our products on its own merits and shall never comment on a competitor's style of functioning or product without a good basis or need for such statements in consumer interest. We shall join hands with our competitors for promoting the overall growth and interests of the industry and its products. However we shall never join hands with our competitors to fix prices; divide or assign sales or purchase territories, customers or product lines; curtail productions; or coordinate bids and similar unfair, unethical or monopolistic trade practices.

Respect for Systems

We firmly believe that adherence to Standard Operating Procedures (SOPs) and Systems is a must to ensure smooth functioning; better productivity; better service and guaranteed safety as well as quality. We at all levels are committed to respect all kind of procedures & systems introduced or to be introduced in future and follow them religiously without any shortcuts.

Respect for Time

Punctuality is a very important aspect of our business. We see punctuality as a mark of professionalism and self-discipline valued by peers and employers. Nothing inspires confidence in a person better than punctuality, nor is there any habit which sooner spoils his/her reputation than that of being always behind time.

This is not about your experience; it is about the experience others have, when dealing with you. Modern business is driven by time - meetings and clients will not always wait. So if you are not on time, your competitors will be ready to jump in your absence. Punctuality gives you greater flexibility, and more importantly peace of mind, allowing you to relax and focus on the task ahead.

Respect for Environment

We all are indebited to Mother Nature and are duty bound to protect the environment.

Keeping in view the present state of affairs in this regard and rising environmental concerns, this area deserves to be accorded the highest priority. Accordingly, we are committed to minimizing the impact of our businesses on the environment by embracing cleaner technologies, encouraging conservation, recycling and energy use programs that promote clean air and water.

We are committed to provide good physical working conditions and encourage high standards of hygiene and housekeeping.

We expect each of our employees to fully demonstrate their commitment to keep the work place & its surroundings neat and clean.

Occupational Health and Safety

We attach great importance to the health and safety concerns of our employees and provide them a safe workplace. We are committed to adopt safe working methods, particularly designed to prevent serious or fatal accidents. We are dedicated to designing, constructing, maintaining and operating facilities that protect our people. It is our policy to comply with all applicable health and safety laws and regulations, provide and require the use of adequate protective equipment and measures, and insist that all work be done in a safe and responsible manner. It is the responsibility of each employee to follow all company policies and procedures related to workplace health and safety.

No Compromise with Food Safety and Quality

We fully recognize and respect the fundamental right of every citizen guaranteed by Article 21 of the Indian Constitution i.e. "Right to Life". We also appreciate that "Right to Life" is not merely confined to physical existence but it includes in its ambit the right to lead a healthy life. The food we eat everyday has a direct impact on our health. Considering that the health of a nation depends upon the quality of food that citizens get, food safety should get the highest priority.
We shall never compromise with food safety and quality of the food products we produce.
We are, in particular, committed to embrace technologies and processes, which ensure food safety and better nutritional qualities. We shall never produce products or use processes or chemicals, which are known for their deleterious effect on human health.

We shall be committed to supply goods of the highest quality standards; backed by efficient after sales services; consistent with the requirements of the customers to ensure their total satisfaction. The quality standards of our goods shall not only meet the required national standards but we shall endeavor to achieve international standards.

Respect for the Laws of the Land

It is our policy to respect the laws of the land and comply fully with all applicable rules and regulations wherever we operate. All our employees shall in their business conduct comply with all applicable laws and regulations, both in letter and in spirit.

National Interest

We shall be committed in all our actions to benefit the economic development of the country and shall not engage in any activity that would adversely affect such objectives. We shall not undertake any project or activity to the detriment of the nation's interests or those that will have any adverse impact on the social and cultural life patterns of its citizens.

We shall conduct our business affairs in accordance with the economic, development and foreign policies, objectives and priorities of the nation's government and shall strive to make a positive contribution to the achievement of such goals at the international, national and regional level as appropriate.

Business with Social Responsibility

We are committed to run our business in a socially responsive manner. We believe we are a citizen of the locality where we operate and, like individual citizens, we have a civic responsibility to support the health, education, environment and welfare of the community. The Company also encourages its people to participate on their own time in local charitable activities of their choice.

Political Non-alignment

We shall have full respect and regard for the administration, elected representatives of local bodies, State Government, Central Government and all political parties and personalities but shall not support directly or indirectly any specific political party or candidate for political office. However, all our employees are free to participate in political process but they must at all times make it clear that they are participating in such activities on personal behalf and they are not representing the company in any manner.

Ethical Conduct

The organisation's directors and senior management shall set the professional tone for the Company. Through both their words and their actions, the organisation's leadership conveys what is acceptable and unacceptable behaviour. Our directors, senior management and employees must constantly reinforce through their actions and behaviour that our stated beliefs of responsible corporate citizenship are rooted in individual conviction and personal integrity.

Fair & Prudent use of Company Facilities and Assets

No director, senior management or employee shall misuse company facilities and assets. These shall be used for the purpose of conducting the business for which they are duly authorized. No one shall make personal use of any of company's facilities or assets unless authorized for the same. Any such personal use shall be strictly in the prescribed manner. In the case of official and personal use of company's facilities and assets, care shall be exercised to ensure that costs are reasonable and there is no wastage.
For this purpose company facilities and assets include tangible assets such as equipment and machinery, computers, voicemail, e-mail, internet access, systems, facilities, vehicles, telephones, mobile phones, materials, resources as well as intangible assets such as proprietary information, relationships with customers and suppliers etc.

Passion for Our Products

We are committed to providing the highest quality products and services to our customers. Our reputation is built upon safe, high quality products that are marketed responsibly. Employees who work to produce our products or have contact with ingredients, packaging or processing equipments used to produce our products, follow all applicable quality control procedures. And the best way to ensure that we do this is to use our own products on a daily basis. By using our own products on a daily basis, we continue to innovate and build new solutions to solve real business problems, while increasing our organization's effectiveness and efficiencies. The result is a company that thinks as a user which benefits our customers. So, we shall not only use our products but develop a passion for the same.

Continuous Improvement and Innovation

Continuous improvement, in regard to organizational quality and performance, focuses on improving customer satisfaction through continuous and incremental improvements to processes, including by removing unnecessary activities and variations. People at all levels of an organization can participate in it, from the CMD down, as well as external stakeholders when applicable. It can take the shape of individual, suggestion system, small group, or large group. Thus, we shall work continuously towards revising the current standards, once they have been mastered, and establishing higher ones.

Transparency and Auditability

All directors, senior management and employees shall ensure that their actions in the conduct of business are totally transparent except where the needs of business security dictate otherwise. Such transparency shall be brought about through appropriate policies, systems and processes, including as appropriate, segregation of duties, tiered approval mechanism and involvement of more than one manager in key decisions and maintaining supporting records. It shall be necessary to voluntarily ensure that areas of operation are open to audit and the conduct of activities is totally auditable.

Gifts and Donations

APS Group company employees shall neither receive nor offer or make, directly or indirectly, any illegal payments, remuneration, gifts, donations or comparable benefits which are intended to or perceived to obtain business or uncompetitive favours for the conduct of its business. However, nominal gifts, which are customarily given and are of commemorative nature for special events may be accepted or given.

Protection of Confidential Information

No director, senior management and employee shall disclose or use any confidential information gained in the course of employment/ association with the Company for personal gain or for the advantage of any other person. No information either formally or informally shall be provided to the press, other publicity media or any other external agency except within approved policies.

Avoidance of Conflict of Interest

All directors, senior management and employees must avoid situations in which their personal interest could conflict with the interest of the Company. This is an area in which it is impossible to provide comprehensive guidance but the guiding principle is that conflict, if any, or potential conflict must be disclosed to higher management for guidance and action as appropriate.

Concurrent Employment

An employee of APS Group shall not, without the prior approval of the management, accept employment or a position of responsibility (such as a consultant or a director) with any other company, nor provide 'freelance' services to anyone. In the case of a whole-time director or the managing director such prior approval must be obtained from the board of directors of the company.

Integrity of Data Furnished

Every employee of APS Group shall ensure, at all times, the soundness and correctness of data or information furnished by him/her to the company. Nobody will knowingly furnish any wrong or misleading data/information to anybody in the company.

Responsibility for Compliance

All our employees must ensure that the principles laid down in the code are followed. We must understand and comply with the code. If any employee comes across any situation which is not clear, he/she is encouraged to seek guidance of their respective manager or any of the Directors. At the same time, if any violation of the code is faced, it must be reported to the respective manager or any of the Directors.

Also, it is the responsibility of each of us to help other employees understand the Code and ensure the implementation of the same. Waivers of this Code will be reviewed by the HR Department and in certain circumstances by the Board of Directors.
